By accessing or using the MyNaksh platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services. These Terms constitute a legally binding agreement between you (or, if you are entering into these Terms on behalf of a company or other legal entity, such entity) and MyNaksh, Inc., a Delaware corporation.
"Platform" means the MyNaksh design software and associated tools accessible at mynaksh.co and via our desktop and mobile applications. "Content" means designs, assets, files, comments, annotations, and other materials you create, upload, or store using the Platform. "Workspace" means a shared organizational environment within the Platform that may include multiple users. "Subscription" means a paid license to access the Platform, billed on a monthly or annual basis. "Free Plan" means a no-cost limited license to access certain features of the Platform.
To use most features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information as necessary. You are responsible for safeguarding your account credentials. You must not share your password or allow others to access your account. You are solely responsible for all activity that occurs under your account, whether or not you authorized it. Notify us immediately at [email protected] if you suspect any unauthorized access to or use of your account. We may require you to enable multi-factor authentication for accounts with elevated permissions or access to sensitive features.
If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. "You" and "your" in these Terms refers to both you individually and, where applicable, the organization you represent.
Subject to your compliance with these Terms and timely payment of applicable subscription fees, MyNaksh grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes during the subscription term. This license does not include the right to: (a) sublicense, resell, or distribute access to the Platform; (b) reverse engineer, decompile, or disassemble any portion of the Platform; (c) modify or create derivative works based on the Platform; (d) use the Platform to develop a competing product or service; or (e) access the Platform through automated means except through our official API and within stated rate limits.
We reserve all rights not expressly granted in these Terms. The Platform, including all intellectual property therein, remains the sole property of MyNaksh and its licensors.
You retain full ownership of all Content you create, upload, or store on the Platform. By using the Platform, you grant MyNaksh a limited, non-exclusive, worldwide license to process, store, display, and transmit your Content solely as necessary to provide the Services. This license terminates when you delete your Content or close your account, subject to reasonable backup retention periods.
You represent and warrant that: (a) you own or have the necessary rights to your Content; (b) your Content does not infringe any third-party intellectual property rights; (c) your Content does not contain malware, viruses, or other harmful code; and (d) your use of the Platform and your Content complies with all applicable laws and regulations. You are solely responsible for your Content and the consequences of sharing it with others.
We will not access or use your Content for any purpose other than providing and improving the Services, unless required by law or with your explicit permission. We do not use your Content to train AI or machine learning models without your consent.
You agree not to use the Platform to: (a) violate any applicable law, regulation, or third-party rights; (b) upload or transmit malicious code, viruses, or disruptive content; (c) engage in harassment, abuse, or threats toward other users; (d) attempt to gain unauthorized access to other accounts or systems; (e) interfere with or disrupt the integrity or performance of the Platform; (f) scrape, crawl, or extract data from the Platform except through authorized API access; (g) use the Platform to create, store, or share content that is unlawful, defamatory, obscene, or harmful to minors; or (h) circumvent any access controls, usage limits, or authentication mechanisms.
We reserve the right to investigate suspected violations of this policy and to suspend or terminate accounts that violate these Terms, with or without advance notice depending on the severity of the violation.
Plans. We offer Free and paid Subscription plans with different feature sets and usage limits as described on our pricing page. We reserve the right to modify plan features with reasonable advance notice.
Billing. Subscription fees are billed in advance on a monthly or annual basis as selected at signup. All fees are stated in US Dollars and are exclusive of applicable taxes. You authorize us to charge your designated payment method for all fees incurred. If your payment method fails, we may suspend your access until payment is received.
Price Changes. We may change subscription prices with at least 30 days' notice. Price changes will take effect at your next billing cycle. Your continued use of the Platform after the price change takes effect constitutes acceptance of the new price.
Refunds. Annual subscriptions may be refunded within 14 days of purchase or renewal if you have not significantly used the platform during that period. Monthly subscriptions are generally non-refundable. We evaluate refund requests for extenuating circumstances on a case-by-case basis.
Free Plan Limitations. Free plan users are subject to usage limits including storage caps, number of projects, and export restrictions. We may modify these limits at any time.
These Terms remain in effect until your account is closed or your subscription expires. You may close your account at any time through your account settings or by contacting [email protected]. Closing your account terminates your license and will result in deletion of your Content after a 30-day grace period.
We may suspend or terminate your access to the Platform immediately if: (a) you materially breach these Terms; (b) you fail to pay applicable fees; (c) we are required to do so by law; or (d) continued provision of the Services creates a security risk or legal liability. Upon termination, all licenses granted under these Terms immediately terminate and you must cease all use of the Platform.
We target 99.9% monthly uptime for paid plans, calculated excluding scheduled maintenance windows for which we provide at least 48 hours' advance notice. We are not liable for service interruptions caused by circumstances beyond our reasonable control, including internet infrastructure failures, natural disasters, or actions of third-party service providers. We reserve the right to modify, update, or discontinue features of the Platform with reasonable advance notice, except in cases of legal necessity or security urgency.
The Platform may integrate with or link to third-party services. Your use of such services is governed by the terms and privacy policies of those third parties. We are not responsible for the content, practices, or availability of third-party services. We do not endorse or make representations about any third-party services.
The Platform, including all software, designs, graphics, documentation, and trademarks, is the exclusive property of MyNaksh and its licensors. Nothing in these Terms transfers any ownership of MyNaksh intellectual property to you. You may not use our trademarks, logos, or trade names without our prior written consent. If you provide feedback, suggestions, or ideas about the Platform, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or compensation to you.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYNAKSH DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYNAKSH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.
You agree to indemnify, defend, and hold harmless MyNaksh and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform in violation of these Terms; (b) your Content; (c) your violation of any applicable law or third-party rights; or (d) your negligence or willful misconduct.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be submitted to binding arbitration in Santa Clara County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice on the Platform at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and close your account.
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and MyNaksh regarding the Platform. If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. Our failure to enforce any provision does not waive our right to do so later. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

To the maximum extent permitted by law, MyNaksh's total liability for any claims arising from these terms or your use of the platform shall not exceed the amount you paid us in the three months preceding the claim.
These terms are governed by the laws of the State of California. Disputes will be resolved in the courts of Santa Clara County, California.
